The other decision

What becoming a bitcoin treasury company actually means

An explanation, not a recommendation. This page owns one decision the rest of the site does not: the capital-structure choice. It does not advise any company to make it.

Two decisions

These are not the same decision at different sizes

A board can be sold the second decision in the language of the first. Naming which one is in front of you is the first control.

Bitcoin inside an operating company

The company keeps selling what it sells. Bitcoin sits in the treasury alongside cash and short-term instruments, inside a policy the board sets and reviews. The business is still the business. That is the decision most of this site is about.

The treasury strategy as the business

The company raises capital, through shares, debt, or both, in order to buy more bitcoin than its own cash flow would allow. Over time the share price starts to track the holding more than the operations. The board is then running two things at once, and the second one never closes.

For the first decision, start with the key considerations map. The rest of this page is only about the second.

What changes

What a board takes on with the second decision

None of these is an argument for or against. Each is a consequence that arrives whether the board planned for it or not.

Dilution

New shares spread the existing owners thinner. Whether each share ends up backed by more or less bitcoin depends on the price paid for both the shares and the bitcoin, every time, not on the intention announced at the start.

Leverage

Debt has dates. Bitcoin does not. A loan secured against a holding that can fall hard and stay down has to be serviced from somewhere, and the operating business is usually the somewhere.

Disclosure

A listed company that makes its treasury the story has to keep telling it: holdings, purchases, sales, and the measures it asks the market to judge it by. Each disclosure invites the next question.

The business the board is running

Management attention follows the holding. Hiring, investor relations, and the board agenda start to serve the treasury strategy. That may be the point. It is still a choice about what the company is for, and it is hard to reverse quietly.

What does not change

Someone still has to control the bitcoin

Whichever decision a board makes, the bitcoin has to be held under signing controls that survive a departure, a dispute, and a lost device. Holdings can be public. Control quality is not. How that control is established is on implement, and it is not repeated here.

The Bitcoin Adviser does not advise on capital structure, on whether a company should become a bitcoin treasury company, or on how much bitcoin to buy. If a board has already decided to hold bitcoin, The Bitcoin Adviser does that work: governance, collaborative security, documentation, and continuity.
